Terms of Use

These Terms of Use (the "Terms") govern use of the website operated by KMC JAPAN Co., Ltd. ("we", "us", or "our") at https://kmcjapan.org and related pages, and the member business portal (together, the "Service").

By using the Service, you agree to these Terms. Account registration requires acceptance of these Terms and our Privacy Policy.

"User" means any individual or entity that browses or uses the Service.

"Member" means a User who has completed registration with acceptance of these Terms and whose use has been accepted by us.

"Content" means text, images, document data, settings, and any other information displayed or stored on the Service.

The Service may include: (1) the public website with company and service information; (2) the member portal for creating and managing invoices, receipts, estimates, and related tools; (3) contact/inquiry handling; and (4) information about custom website and software development.

Paid plans, custom development projects, and vehicle export/purchase businesses may be subject to separate contracts, quotes, or site-specific terms. Vehicle export (kmcjapan.co.jp) and vehicle purchase (kmccar.com) are governed by those sites' respective terms.

You must provide accurate and up-to-date information when registering. We may refuse or cancel registrations that are false, impersonating, or otherwise inappropriate.

You are responsible for safeguarding your account and password. Except in cases of our willful misconduct or gross negligence, we are not liable for damages arising from third-party use of your account.

We may decline registration or suspend use after review.

Free and paid plan features and fees are as shown on the Service or otherwise communicated by us. Paid plans may be processed through a third-party payment provider (for example, Stripe).

We may change fees or plan features with reasonable prior notice. Except where required by law, fees for periods already provided are generally non-refundable. If a separate contract says otherwise, that contract prevails.

You must not: (1) violate laws or public order; (2) infringe others' rights, defame, or impersonate; (3) attempt unauthorized access, distribute malware, or overload systems; (4) reverse engineer or improperly analyze the Service; (5) spam, interfere with operations, or send false information; (6) use document features for fraudulent billing, tax evasion, or other illegal acts; or (7) engage in any other conduct we reasonably deem inappropriate.

We may suspend accounts, delete registrations, or report to authorities without prior notice if a violation is found.

Intellectual property in the Service and in designs, software, documents, and trademarks we provide belongs to us or the rightful owners.

Rights in business data you enter (counterparty details, document contents, etc.) remain with you or the rightful owner under applicable law and contracts. We may process such data as needed to provide, maintain, improve, and secure the Service and prevent abuse.

We do not warrant that the Service will be uninterrupted, error-free, or fit for a particular purpose. The Service may be temporarily unavailable due to maintenance, outages, or network conditions.

You are responsible for the content, legality, and accuracy of invoices, receipts, estimates, and other documents you create. We do not provide tax, accounting, or legal advice.

Except for our willful misconduct or gross negligence, we are not liable for indirect damages, lost profits, or data loss arising from use or inability to use the Service. Where we are liable, our aggregate liability is limited to the fees you paid us for the Service in the 12 months before the claim (or JPY 10,000 if you used only free features).

Custom website or software projects are governed primarily by the applicable quote, purchase order, or separate agreement (scope, schedule, fees, acceptance). These Terms supplement matters not covered there.

Schedule and cost may change due to requirement changes, delayed materials, or third-party service changes.

Members may request cancellation through our designated process. After cancellation, account data may be deleted or anonymized except where retention is required by law.

We may restrict or terminate accounts for Terms violations, prolonged inactivity, non-payment, or security reasons.

We may update these Terms as needed. Updated Terms take effect when posted on the Service. Material changes will be communicated in a reasonable manner. Continued use after changes constitutes acceptance.

These Terms are governed by the laws of Japan. The Fukuoka District Court shall have exclusive jurisdiction as the court of first instance over disputes relating to the Service.
